1. Agreement to Terms

These Terms of use which also include the Privacy Policy, Cookies Policy, and any specific Data Processing Addendums ("Terms") set out the terms and conditions for your use of Services offered by SadaPOS. By clicking “Accept” or using any of the Services provided via sadapos.com or the application platform at app.sadapos.com, you acknowledge that you have read and understood these Terms, and that you have agreed to these Terms on behalf of any person or entity for whom you are using the Services. If you do not agree to any of these Terms, then you should not use the Services. All rights not expressly granted in these Terms are reserved by SadaPOS. We may change these Terms from time to time by posting updates to the Website. You are advised to check the Terms from time to time for any updates or changes that may impact you and if you do not accept such amendments, you must cease using the Services.

2. Definitions

To help you read and understand these Terms, we've set out definitions of some key terms below:

  • "Customer" means the person or entity who registers to use the Service by creating a SadaPOS account. If you are creating an account or using the Services on behalf of a business, you agree that you are accepting these Terms and have the authority to enter into these Terms, on behalf of the business, which will be deemed to be the Customer, and will be bound by these Terms.
  • "Authorised User" means any person or entity that a Customer authorises to use the Service on its behalf. This includes employees and personnel of the Customer who are authorised to use the Services on the Customer's behalf, but also includes support partners and other third parties with whom a Customer shares its SadaPOS account details (and for whose conduct the Customer is responsible).
  • “Personal Data” means any Data relating to an identified or identifiable natural person (‘data subject’); an identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person).
  • “Sensitive Data” means any data revealing a person’s racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, genetics, biometrics, health data, data about sex life or sexual orientation, or data about criminal convictions and offences.
  • "Services" means SadaPOS point of sale and inventory management products and services, and any features, technologies or functionality provided by those products or services, offered by us from time to time, including the SadaPOS POS, SadaPOS Dashboard, and related application interfaces at app.sadapos.com and the marketing website at sadapos.com. Your use of the Services will also be subject to any allowances and/or limits that apply to the SadaPOS plan which you've purchased.
  • "Content" – text, graphics, audio and video materials, documentation, information posted in Apps or Website, perceivable by a person or with the help of special devices.
  • "You" means the Customer and (where the context permits) includes any Authorised Users.

3. Account Information

To lawfully use our Services, you must be at least at the age your country of residence defines as the least age to offer information society services. You agree to provide true, accurate, current, and complete account information, and to maintain and promptly update your account information to ensure that it remains true, accurate, current, and complete. We will use that information to contact you from time to time, so it is important that you keep all of your contact details, and those of your Authorised Users, up to date. You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password.

4. Use of Your Account & Offline-First License

SadaPOS grants you a limited, non-exclusive, non-transferable, revocable licence to use the Services for the purposes of the Customer's business and in accordance with these Terms. You are responsible for any conduct or activity undertaken in your account, including any changes made, and the input or modification of or access to any data or information in your account, by any of your Authorised Users.

  • Offline-First Architecture: You acknowledge that SadaPOS utilizes an offline-first architecture for the application platform at app.sadapos.com. While this allows for local data processing, you are solely responsible for ensuring that your device connects to the internet to synchronize data with our secure cloud infrastructure. SadaPOS is not liable for any data loss resulting from your failure to synchronize local data.
  • Disputes: You acknowledge and agree that, if there is any dispute between a Customer and an Authorised User regarding access to Services, the Customer shall decide what access or level of access to the relevant Data or Services that Authorized User shall have. We will have no responsibility to anyone other than the Customer.

5. Cancellation of Accounts

We can cancel or suspend your account at any time on written notice to you. Such termination will be effective at the end of your then-current paid-up subscription period. We may also cancel or suspend your account immediately if, in our sole discretion:

  • You have committed a material or persistent breach of these Terms;
  • We consider that provision of the Services, or use of them, in your territory will breach any applicable law;
  • You fail to comply with any limits or restrictions (e.g., the 50-item limit on the Free Plan) applicable to your plan;
  • Your use of the account is creating a security or availability risk for SadaPOS or our other customers, is impacting the stability or performance of our systems, or is requiring disproportionate resource to deliver (e.g., in terms of storage or processing requirements).

6. Fees and Taxes

The fees charged for use of the Services are set out on sadapos.com ("Fees") and are subject to change. We can change the Fees at any time by giving you 14 days' prior notice. Fees are charged in advance on a monthly or annual basis and are non-refundable. A valid credit card or approved payment method is required for paying all Fees. SadaPOS does not store your credit card information; all payment transactions are handled securely by Paddle. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles all customer service inquiries and returns. All Fees are exclusive of all taxes, and Paddle will calculate and collect the appropriate taxes (VAT, GST, etc.) based on your location. By subscribing to optional add-ons or Pro plans, you agree and authorize Paddle to automatically charge the payment method provided at the start of each billing period.

7. Upgrading or Downgrading Your Account

You may upgrade or downgrade your account (for example, add or delete employee accounts, subscribe or unsubscribe from optional add-ons) at any time when you are logged into your account at app.sadapos.com. The upgrade or downgrade will become effective immediately. If you downgrade your account, no refunds will be paid in respect of any unused portion of any higher account offering. Downgrading your account may cause the loss of content, features, or capacity of your account. SadaPOS does not accept any liability for the resulting loss of data, content, features or capacity.

8. Plan Limits and Reasonable Use

The Services are available in a range of packages/plans as described on sadapos.com. We may update those plan limits at any time by updating the plan descriptions. You agree that we may use information generated by your use of the Services (e.g., transaction volume) for the purposes of determining the most appropriate plan and pricing for you. We reserve the right to suspend or restrict your account where we believe that your use isn't fair or reasonable or that it may cause degradation of the Services to other users. SadaPOS reserves the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice.

9. Hardware & Third-Party Integrations

SadaPOS is designed to be compatible with standard POS hardware; however, we do not provide any warranties that the Services will work in an uninterrupted, secure, or error-free fashion with all hardware models. Integration with third-party hardware or software is at your own risk. SadaPOS is not liable for any loss or damage resulting from hardware incompatibility or third-party service failures.

10. Disclaimer of Warranties

THE USE OF THE SERVICES IS CARRIED OUT AT YOUR OWN RISK. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". THE USE OF SERVICES DOES NOT PROVIDE ANY WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING (WITHOUT LIMITATION) IMPLIED NON-INFRINGEMENT WARRANTIES. THE USE OF SERVICES DOES NOT PROVIDE ANY WARRANTIES THAT (I) SERVICES WILL MEET ALL YOUR REQUIREMENTS, (II), SERVICES WILL WORK IN AN UNINTERRUPTED, SECURE, OR ERROR-FREE FASHION, OR (III) THE RESULTS THAT MAY BE OBTAINED WILL BE ACCURATE OR RELIABLE.

11. Limitation of Liability

YOU UNDERSTAND AND AGREE THAT BY USING SERVICES, YOU ALONE ARE RESPONSIBLE AND SHALL NOT HOLD SADAPOS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, RESULTING FROM: (I) THE USE OR INABILITY TO USE SERVICES; (II) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR COMMUNICATIONS OR DATA; OR (III) ANY OTHER MATTER RELATING TO THE USE OF SERVICES. You agree to indemnify and hold SadaPOS harmless from any claims, damages, or legal fees arising from your use of the Services in violation of these Terms or any applicable law.

12. No Malicious or Illegal Use

You must not: (a) use the Services in any unlawful manner or for any fraudulent purpose; (b) infringe our intellectual property rights; (c) transmit any material that is defamatory, offensive or otherwise objectionable; (d) use the Services in a way that could damage, disable, overburden, or compromise our systems; (e) collect or harvest any information or data from our systems; (f) use sexually explicit, racial, ethnic, cultural, or similarly offensive names and labels; or (g) process personal data in an unlawful way such as not following the provisions of the General Data Protection Regulation (GDPR).

13. Intellectual Property

You acknowledge and agree that SadaPOS may offer Content that is protected by copyright, patent, trademark, or other proprietary rights. Except as expressly provided, you agree not to use such Content in bad faith. Technology and computer software, applications, and design underlying the Services are protected by copyright and other laws. You agree not to copy, modify, reverse engineer, or otherwise attempt to derive the source code of the Services.

14. Data Protection & Security

We will maintain appropriate technical and organizational measures to protect the security of the data or content that you input into the Services. You are responsible for complying with all applicable data protection laws. You shall not provide (nor permit any User to provide) any Sensitive Data to SadaPOS. SadaPOS disclaims all liability for Sensitive Data processed through the platform in violation of this clause.

15. Data Deletion

On expiry or termination of these Terms, or upon cancellation of your account, the data submitted by you to the Services at app.sadapos.com will be deleted after 60 days, unless applicable laws require SadaPOS to retain the data for a longer period. It is your responsibility to ensure that any content or data which you require is exported or backed-up before cancellation.

16. Governing Law

These Terms shall be governed by and construed under the English law. The parties consent to the exclusive jurisdiction and venue of English courts.

These Terms of Service (“Terms”) set out the terms and conditions for your use of the Services offered by SadaPOS. By creating an account or using any of our Services, you acknowledge that you have read, understood, and agreed to these Terms on behalf of yourself or the entity you represent.

If you do not agree to these Terms, you must not use the Services. All rights not expressly granted in these Terms are reserved by SadaPOS.

1. Definitions

  • "Customer" means the person or entity who registers to use the Service.
  • "Authorized User" means any person (such as your employees) whom you authorize to use the Service on your behalf.
  • "Services" means the SadaPOS point of sale and inventory management products, including the web application (app.sadapos.com), the website (sadapos.com), and any associated features or functionality.
  • "Personal Data" means any data relating to an identified individual as defined in our Privacy Policy.

2. Account Information

To use our Services, you must be of legal age in your country of residence. You agree to provide true, accurate, and complete information during registration and to keep your account details updated. We will use this information to contact you regarding your account and billing.

3. Use of Your Account

SadaPOS grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services for your business operations in accordance with these Terms. You are responsible for all activity occurring under your account, including actions taken by your Authorized Users. You maintain control over user access levels and are responsible for safeguarding your account password.

4. Fees and Payment (Merchant of Record)

  • Subscription Fees: The fees for using SadaPOS are set out on our website and are subject to change. Fees are charged in advance on a monthly or annual basis.
  • Paddle as Merchant of Record: Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders. They handle payment processing, billing inquiries, and returns. By subscribing, you authorize Paddle to charge your provided payment method at the start of each billing period.
  • Non-Refundable: All Fees are non-refundable, even if you only use a portion of your subscription period.
  • Taxes: You are responsible for any sales, use, or value-added taxes (VAT) applicable in your jurisdiction.

5. Upgrading or Downgrading Plans

You may upgrade or downgrade your plan at any time through your account settings.

  • Upgrades: Changes take effect immediately, and any balance paid will be credited toward the new plan.
  • Downgrades: No refunds are provided for unused portions of a higher plan. Downgrading may result in the loss of certain features, data capacity, or content. SadaPOS is not liable for such losses.

6. Cancellation and Termination

  • By You: You may cancel your account at any time by contacting support@sadapos.com. Cancellation takes effect at the end of your current paid billing cycle.
  • By Us: We reserve the right to suspend or cancel your account if you breach these Terms, fail to pay fees, or if your use of the Service poses a security risk to our systems.

7. Plan Limits and Reasonable Use

Your use of the Service is subject to the limits of your selected plan (e.g., number of items, transactions, or stores). We reserve the right to restrict or suspend your account if your usage is deemed unfair, unreasonable, or impacts the stability of our systems for other users.

8. Data Protection and Security

We maintain industry-standard technical and organizational measures to protect your data. You are responsible for complying with all applicable data protection laws regarding the information you collect from your customers and employees through SadaPOS. You must not input "Sensitive Data" (such as health records or biometric data) into the system.

9. Intellectual Property

All content, software, designs, and logos associated with SadaPOS are protected by copyright and intellectual property laws. You agree not to copy, modify, reverse engineer, or attempt to derive the source code of our software.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". SADAPOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SADAPOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR DATA, RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICES.

12. Governing Law

These Terms shall be governed by and construed in accordance with international SaaS standards and the laws applicable to our business registration. Any disputes shall be subject to the exclusive jurisdiction of the relevant courts.
